What is CUAD?

CUAD is an open dataset of commercial contracts labeled by law students under the supervision of experienced lawyers. Legal tech and legal teams use it to train and test contract review models.

The dataset holds 510 commercial legal contracts with more than 13,000 labels for 41 clause categories that lawyers look for when reviewing contracts in corporate transactions. Law students labeled the contracts after training, and experienced attorneys reviewed the labels. The Atticus Project, Inc., a non-profit for AI in the legal field, curates and maintains it under CC BY 4.0. Code for replicating the paper results and a trained model are on GitHub.

CUAD AI features and use cases

  • Trains clause extraction modelsLegal tech teams can fine-tune models to find clauses such as change of control or non-compete in contracts. The lawyer-supervised labels give a reliable ground truth to learn from. Results can be compared with the published baseline.
  • Tests contract review toolsBefore buying or building a contract review tool, legal departments can run it on CUAD and compare found clauses with the labels. Missed clauses show where manual review stays necessary.
  • Benchmarks language models on contractsThe question-answering format lets teams ask a general language model for each clause type and score the answers. This shows how far a model gets without special training. The comparison helps decide whether fine-tuning is worth the effort.

What sets CUAD apart

  • Labels created under the supervision of experienced lawyers, with a public labeling handbook.
  • Released under CC BY 4.0, which allows commercial use with attribution.

Where CUAD is strongest

Available internationally

CUAD contains English-language commercial contracts labeled for clauses that lawyers check in corporate transactions such as mergers and acquisitions.

Questions to ask before you buy CUAD

The contracts are English-language and follow common-law drafting, so models trained on CUAD need testing on German contracts before use in Germany. Contract review results still need a lawyer's check, and the labels cover 41 clause types, so clauses outside this list need separate testing.
